OFFICIAL RULES

1. CONTEST

RED CARPET SHOWDOWN: THE BIGGEST NIGHT IN MOVIES CONTEST (“Contest”) is a skill based contest to test your knowledge of movies. The object of the game is for you (sometimes referred herein as “you”, “entrant”, “registrant”, “prizewinner” or “participant”) to get the most points by  answering movie and/or entertainment-related trivia questions and by submitting your picks for the winner in each award category.  Points are scored by how many trivia questions you answer correctly during a designated time period.  Trivia questions are timed, meaning not only will you need to answer questions but you will also need to be fast. You will be competing against ALL participating players on the “Website” (defined below).  Top scorers have the chance to win DVDs, movies tickets, tank tops, and the title of “Red Carpet Guru”.

 

2. SPONSOR

 

The Contest is sponsored by Celebrity Beehive, LLC (referred herein as “Sponsor”), with its principal office at 2870 Los Feliz Place #113, Los Angeles, CA 90039.

 

3. ACCEPT OFFICIAL RULES

 

Participation constitutes entrant’s full and unconditional agreement to these official rules (the “Official Rules”) and to Sponsor’s decisions.  The decisions of the Sponsor in regards to all matters of this Contest are final and binding.  Winning a prize is contingent upon fulfilling all requirements set forth herein.

 

4. ELIGIBILITY

 

NO PURCHASE NECESSARY. The Contest is open only to legal residents of the fifty (50) United States (EXCLUDING ARIZONA) and Washington, D.C., (EXCLUDING PUERTO RICO, AND OTHER U.S. TERRITORIES OR FOREIGN TERRITORIES).  You must be eighteen (18) years of age or older as of February 16, 2011 to participate in the Contest.  The Contest is VOID (i) where prohibited (by law and as indicated in these Official Rules) and (ii) outside of the United States of America.  All federal, state, and local laws and regulations apply. If existing local or state law prohibits the distribution and acceptance of cash prizes, then the prizewinner(s) will have the option to accept an alternate prize, at Sponsor’s sole discretion, of equal value.  Excluded individuals may play the game and have their name noted in the standings but WILL NOT be eligible to receive any prizes.  If you are selected as a prizewinner but are not eligible to win any prizes, the prize will be awarded to the person with the next highest score in accordance with these Official Rules.

 

Employees, officers, directors, agents, representatives and their immediate family and/or household members of Sponsor, and its parents, subsidiaries, affiliates, advertising and promotion agencies, and any and all other companies associated with this Contest are not eligible to win.  Each entrant in the Contest must be the rightful owner or have authorized use of the e-mail account indicated by the entrant’s e-mail address (limit one (1) participant per valid e-mail address).  In the event of a dispute as to the identity of the prizewinner, the prizewinner will be deemed to be the person in whose name under which the e-mail account is registered. Potential prizewinners may be required to show proof of identification.  Sponsor may require that the potential prizewinner provide proof that he/she is the authorized account holder of the e-mail address and/or password associated with the winning entry.  Any entry that is incomplete, late, or does not include a valid email address will be disqualified.

 

5. CELEBRITY BEEHIVE REGISTRATION

 

To play the Contest, you must be a registered member of celebritybeehive.com (“Website”).  Registration is free.  You may register by clicking on the applicable link on celebritybeehive.com, and following the instructions.  You will be asked to provide your legal first and last name, date of birth, zip code, gender, e-mail and to select a password.  You will also be asked if you wish to receive communication (including, without limitation, promotion emails) from Sponsor or its affiliates.  You are responsible for the secrecy of your password.  Sponsor and other third parties are not responsible or liable for any actions taken using your password.  Notwithstanding the foregoing, in the event that you forget your password, select the link for “Forgot your password?” or “Forgot your member name?”, enter your email address (the email address you used when you registered on Website) and Sponsor will send you a message with your member name or password.  You shall be responsible for the secrecy of your temporary password and to changing such password to your own permanent password.

 

If you wish to update or revise your information, you may do so by going to the Account Manager link.

 

6. HOW TO ENTER

 

A. Enter Online:  Log on to the Website and register as set forth in Section 5 above.  Only entries received online in accordance with these Official Rules will be accepted.  No other forms of entry - fax, mail, email, phone or other - will be accepted.  Entry materials/data that have been tampered with or altered are void.  You may enter/register for the Contest at any time during the Overall Contest Period (as defined below), subject to these Official Rules.

 

It is the sole responsibility of the entrant to notify Sponsor during the Overall Contest Period if his or her e-mail address has changed.

 

B. Entry Errors: (i) Sponsor is not responsible for lost, late, incomplete, damaged, stolen, invalid, unintelligible or misdirected entries, which will be disqualified; (ii) Sponsor is not responsible for any unavailability of or interruptions to any service or equipment used in connection with the Contest, including, without limitation, (1) interruptions to any network, server, Internet, website, telephone, satellite, computer or other connections (2) failures of any telephone, satellite, hardware, software or other equipment, (3) garbled, misdirected or jumbled transmissions, or traffic congestion, or (4) other errors of any kind, whether human, technical, mechanical or electronic, or (5) the incorrect or inaccurate capture of entry or other information or the failure to capture any such information.

 

Once submitted, entries become the sole property of Sponsor and will not be acknowledged or cancelled.  In the event of a dispute as to any entry, the authorized account holder, i.e., natural person, of the email address used to register will be deemed to be the registrant.  All entries are subject to the privacy information published at http:celebritybeehive.com/legal/privacypolicy.

 

7. HOW TO PLAY

 

A. REGISTER: You must register as set forth in Section 5 above.

 

B. PLAY:

 

Part One: Trivia (20 questions):

Players must answer twenty (20) trivia questions about the award show, past winners, nominees and films. This segment of the Contest will be timed (the faster you answer, the more points you get).

 

Part Two: Ballot:

Players must submit their picks for all winners of each award category for the applicable award ceremony. Deadline for submission in set forth in Section 8 below.

 

 

8. CONTEST PERIOD/GAME CALENDAR/DEADLINES

The RED CARPET SHOWDOWN contest begins February 17, 2011, 12:00 AM Pacific Standard Time (“PST”) and ends February 27, 2011, 11:59 PM PST (the “Overall Contest Period”).

 

Schedule:

February 17, 2011: Contest launch.

Saturday, February 26, 2011 -- 11:59 PM (PST): Deadline to submit trivia questions and ballot.

Sunday, February 27, 2011: Awards telecast will air

 

9. SCORING

 

Contest points will be allocated to each player as follows:

 

20 Trivia Questions

0-20 points based on a 20 second timer.

Example: if you answer correctly within one second, you get the maximum 20 points; if you answer correctly in five seconds, you get 15 points; if you answer correctly in 10 seconds, you get 10 points, and so on.  If you do not answer within 20 seconds or if you answer incorrectly, you get 0 points.

B. Tiebreaks:

 

In the event of tiebreak, the prize will be awarded to the player with the highest single ballet score.  If a tie still exists, the tie will be broken using the highest points scored by answering the 20 trivia question.  In the event that a tie still exists, the players will each answer a series of trivia questions regarding celebrities and/or movies until one player wins.  Odds of winning depend on your ability to select high performing players, your knowledge of entertainment, and the number of eligible entries received.

 

The Overall Prizewinners for the Contest will be determined and announced, subject to prizewinner verification of eligibility, on or about March 11, 2011 (the “Overall Prizewinner Date”).

 

10. SELECTION AND NOTIFICATION OF PRIZEWINNERS

 

Eligibility, age and all claims made by selected prizewinners are subject to verification.  The failure to respond timely and completely to any prizewinner notification sent by Sponsor (or failure to claim the prize) will result in forfeiture of the prize and Sponsor will select an alternate prizewinner from among those remaining entrants in accordance with these Official Rules.  Any prize notification returned as undeliverable may result in disqualification and selection of an alternate prizewinner with the next highest score from among those remaining entrants in accordance with these Official Rules.  The first selected prizewinner will be notified by e-mail within five (5) business days after completion of the Overall Contest Period. In addition to any other requirements set forth in these Official Rules, prizewinners will be required to respond to the attempted prizewinner notification within two (2) business days of the date such notice was sent by Sponsor and, in such response, must confirm his/her full name, residential mailing address, phone number and date of birth to be eligible to receive any prize.  If any potential prizewinner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential prizewinner will be disqualified and an alternate prizewinner may be selected within five (5) business days from first potential prizewinner being disqualified.  If a potential prizewinner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, Sponsor may refund any fees at its sole discretion.  Sponsor may successively attempt to contact up to three (3) potential prizewinner(s) of an applicable prize in accordance with the procedure set forth in this Section, and if there is still no confirmed prizewinner(s) of such applicable prize after such attempts have been made, if any, such prize may go unawarded.  For purposes of these Official Rules, a “business day” shall not include Saturday.

 

Overall Prize Prizewinners: There will be Three (3) prizes awarded for the Overall Contest Period:

 

One (1) Overall First Prize winner will receive: one Inception DVD ($17 arv), one Toy Story 3 DVD ($12 arv), one Social Network DVD ($18 arv) and one Black Swan DVD ($22 arv), two (2) movie tickets ($25 arv) and one Celebrity Beehive tank top [$10 approximate Retail Value (“arv”)].

 

Two (2) Second Prize winners will each receive one Celebrity Beehive tank top ($10 arv each).

 

Applicable portions of the prizes will be delivered only to an address in the United States.  The total ARV of all prizes is $124.00

 

11. GENERAL PRIZE CONDITIONS

 

Prizes will be awarded only if each potential prizewinner fully complies with these Official Rules.  All portions of the prize(s) are non-assignable and non-transferable.  Prizes pictured in point-of-sale, online, television and print advertising, promotional packaging, and other Contest materials are for illustrative purposes only.  Actual prize(s) may vary from the prize(s) pictured.  All details and other restrictions of the prize(s) not specified in these Official Rules will be determined by Sponsor in its sole discretion.  No cash alternative or substitution of the prize(s) will be allowed, except Sponsor reserves the right in its sole discretion to substitute prize(s) of equal or greater value if any prize listed is unavailable, in whole or in part, for any reason.  The prizewinner shall be solely responsible for all federal, state, and/or local taxes, and the reporting consequences thereof, and for any other fees or costs associated with the applicable prize.

 

As a condition of receiving a prize, the potential prizewinner will be required to execute an Affidavit of Eligibility, a Liability Release, and (except where prohibited) a Publicity Release (collectively, “Prize Claim Documents”).  If any potential prizewinner fails or refuses to sign and return all Prize Claim Documents via electronic mail within two (2) business days of prize notification (as set forth above), the prizewinner may be disqualified and an alternate prizewinner may be selected.

 

Sponsor makes no warranties, and hereby disclaims any and all warranties, express, or implied, concerning any prize furnished in connection with the Contest.  WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

 

12. CONDITIONS OF PARTICIPATION

A. Sportsmanship (“AKA” Celebrity Courtesy):

By participating, you agree to abide by the general sportsmanship rules set forth in these Official Rules and Contest in general. You further agree to accept and abide by the rulings and the decisions of Sponsor regarding all questions of sportsmanship. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Contest or the Website, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Contest, or to annoy, abuse, threaten or harass any other person, or to defame, disparage, and/or negatively post any message and/or material regarding any celebrity, motion picture and/or award show, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.  All decisions by Sponsor in sportsmanship and related matters will be final. Without limiting the foregoing, Sponsor may terminate an entrant’s account who, in Sponsor’s sole judgment, has been disqualified, has questionable eligibility, or is otherwise ineligible to enter. No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple entries will be accepted.  For clarification, any paid Subscription Fee shall not be refundable in the event of termination by Sponsor as set forth hereunder.  CAUTION: A PERSON WHO ATTEMPTS DELIBERATELY TO UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST OR TO ALTER OR DAMAGE THE SPONSOR’S WEBSITE MAY BE SUBJECT TO CIVIL AND/OR CRIMINAL PENALTIES AND FINES; AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

 

B. Cancellation: In the event of a cancellation or termination of a prizewinner, the entrant who has accumulated the highest point total (and who wins any pending tiebreakers) at the time of any said action will be awarded the prizes, or the prizes will be awarded in such other manner deemed fair and appropriate by Sponsor.

C. Background Check: Sponsor reserves the right to conduct a background check of any and all records of any prizewinner, including without limitation, civil and criminal court records and police reports.  To the extent necessary under law, prizewinner shall authorize this background check.  Sponsor may also take all steps necessary to corroborate any information provided to Sponsor by prizewinner. In that regard, prizewinner will be obligated to provide necessary contacts and information so that Sponsor may conduct such investigation.  Sponsor reserves the right (at its sole discretion) to disqualify a prizewinner based on the background check, and select an alternate.

13. GAMBLING PROHIBITION

The Contest is strictly for entertainment purposes and may not be used in connection with any form of gambling.

14. GENERAL PROVISIONS

 

A. PUBLICITY: By registering to the Website, you give permission for Sponsor to use your name, photograph, likeness, voice, biographical information, statements, and address (city and state) (whether provided by you or obtained by Sponsor from an outside source or created by Sponsor) (“Personal Material”) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation.  You hereby releases and discharges to Sponsor, and its employees, agents, licensees, successors and assignees from any and all claims, demands or causes of action that you may now have or may hereafter have for libel, defamation, invasion of privacy or right of publicity, infringement of copyright or violation of any other right arising out of or relating to any utilization of Personal Material or based upon any failure or omission to make use thereof or any misinformation (e.g. wrong picture, misspelling of name, etc).

 

B. RELEASE OF LIABILITY: Entrants agree that Sponsor (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Contest or any Contest-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose.  Sponsor assumes no responsibility for any damage to an entrant’s, or any other person’s, computer system which is occasioned by accessing the Website or otherwise participating in the Contest, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature.  Without limiting the generality of the foregoing, Sponsor is not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information.

 

C. FORCE MAJEURE: Sponsor reserves the right to modify, extend, suspend, or terminate the Contest if it determines, in its sole discretion, that the Contest is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Contest as contemplated herein.  In the event an insufficient number of eligible entries are received and/or Sponsor is prevented from awarding prizes or continuing with the Contest as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis (e.g. SARS), order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, or terminate the Contest.  If the Contest is terminated before the designated end date, Sponsor will (if possible) select the prizewinner from all eligible, non-suspect entries received as of the date of the event giving rise to the termination.  Only the type and quantity of prizes described in these Official Rules will be awarded.  No Subscription Fee(s) shall be refunded, except in the event that Contest are terminated due to a Force Majeure event and no prizewinner(s) are or can be announced, then all Subscription Fees shall be refunded.

 

D. AMENDMENTS/SEVERABILITY: These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor.  The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision.  In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

 

E. Governing Law and Jurisdiction: THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF CALIFORNIA WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. For any matters which are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules, the Contest, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the state of California and federal courts located in the City and County of Los Angeles, and State of California.  The parties agree not to raise the defense of forum non conveniens.

 

F. ARBITRATION PROVISION:  By participating in the Contest, each entrant agrees that any and all disputes the entrant may have with, or claims entrant may have against, Sponsor relating to, arising out of or connected in any way with (i) the Contest, (ii) the awarding or redemption of any prize, and/or (iii) the determination of the scope or applicability of this agreement to arbitrate, or (iv) any other claim will be resolved individually and exclusively by final and binding arbitration administered in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party.  The arbitration shall be conducted in the State of California, in the City and County of Los Angeles.  The arbitrator’s decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements referenced herein that the applicable participant may have entered into in connection with the Contest.  The arbitrator shall not have the power to award punitive damages against the participant or Sponsor.  If any part of this Arbitration Provision is deemed to be invalid or otherwise unenforceable or illegal, the balance of this Arbitration Provision shall remain in effect and shall be construed in accordance with its terms as if the invalid or illegal provision were not contained herein.

 

G. Privacy: The Sponsor collects personal data from registered users when they enter the Contest. This information becomes the property of the Sponsor and may be combined with other information that you have submitted to them.  Personal data collected from Sponsor is subject to the Sponsor privacy policy located at www.celebritybeehive.com/legal/privacypolicy and will be handled consistent with that policy and subject to any specific privacy choices communicated to Sponsor.  Personal information may also be disclosed to third parties in order to administer the Contest and award prizes.

 

15. PRIZEWINNER'S LIST/OFFICIAL RULES

 

To obtain a copy of any legally required prizewinners list, send a self-addressed stamped envelope to: The Celebrity Beehive Contest Prizewinners List, Sponsor/Administrators 2870 Los Feliz Place #113, Los Angeles City, CA 90039.  All such requests must be received within six (6) weeks after the end of the Overall Contest Period.  These Official Rules are available by sending an e-mail request to This e-mail address is being protected from spambots. You need JavaScript enabled to view it  with “Official Rules Request” in the subject line.  Official Rules requests will not be granted after the end of the Overall Contest Period.  These Official Rules will be posted on the Website during the Overall Contest Period.
