THE CELEB FANTASY AND SUPER CELEB SHOWDOWN
CONTEST OFFICIAL RULES
1. CONTESTS
The Celeb Fantasy and Super Celeb Showdown (individually and collectively sometimes referred herein as the “Contest(s)”) are:
A. CELEB FANTASY: is a skill-based fantasy game, similar to sports fantasy games, but instead of picking a team of athletes, you (sometimes referred herein as “you”, “entrant”, “registrant”, “winner” or “participant”) pick a team of celebrities. The object of the game is to get the most points. Points are scored by how much publicity your celebrity receives in magazines. You will play against players in your league only, not other private or public leagues in the Contest, and therefore there are not prizes. The person with the most points wins bragging rights!
B. SUPER CELEB SHOWDOWN: is a skill-based contest designed to test your knowledge of celebrity culture. In addition to participating in a league, players must also compete in weekly bonus challenges to earn additional points. Bonus challenges are timed, meaning not only will you need to answer questions and play games, but you will also need to be fast. You will be competing against players in ALL leagues (“Overall League”) in the SUPER CELEB SHOWDOWN, not CELEB FANTASY CONTEST. Because there are additional challenges and competition against the Overall League, top scorers have the chance to win prizes, and the title “Ultimate Gossip Guru”!
2. SPONSOR
The Contests are sponsored by Celebrity Beehive, LLC (referred herein as “Sponsor”), with its principal office at 2870 Los Feliz Place #113, Los Angeles, CA 90039.
3. ACCEPT OFFICIAL RULES
Participation constitutes entrant’s full and unconditional agreement to these official rules (the “Official Rules”) and to Sponsor’s decisions. The decisions of the Sponsor in regards to all matters of these Contests are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein.
4. ELIGIBILITY
Contests are open only to legal residents of the fifty (50) United States (EXCLUDING ARIZONA) and Washington, D.C., (EXCLUDING PUERTO RICO, AND OTHER U.S. TERRITORIES OR FOREIGN TERRITORIES). You must be eighteen (18) years of age or older as of February 15, 2010 to participate in the Contests. The Contests are VOID (i) where prohibited (by law and as indicated in these Official Rules) and (ii) outside of the United States of America. All federal, state, and local laws and regulations apply. If existing local or state law prohibits the distribution and acceptance of cash prizes, then the winner(s) will have the option to accept an alternate prize, at Sponsor’s sole discretion, of equal value. Excluded individuals may play the game and have their name noted in the standings but WILL NOT be eligible to receive any prizes. If you are selected as a winner but are not eligible to win any prizes, the prize will be awarded to the person with the next highest score in accordance with these Official Rules.
Employees, officers, directors, agents, representatives and their immediate family and/or household members of Sponsor, and its parents, subsidiaries, affiliates, advertising and promotion agencies, and any and all other companies associated with these Contests are not eligible to win. Only one (1) prize per household for the Contest. Each entrant in the Contests must be the rightful owner or have authorized use of the e-mail account indicated by the entrant’s e-mail address (limit one (1) participant per valid e-mail address). However, a participant may have more than one team by paying additional Subscription Fee(s), as defined below. In the event of a dispute as to the identity of the winner, the winner will be deemed to be the person in whose name under which the e-mail account is registered. Potential winners may be required to show proof of identification. Sponsor may require that the potential winner provide proof that he/she is the authorized account holder of the e-mail address and/or password associated with the winning entry. Any entry that is incomplete, late, or does not include a valid email address will be disqualified.
5. CELEBRITY BEEHIVE REGISTRATION
To play the Contests, you must be a registered member of celebritybeehive.com (“Website”). Registration is free. You may register by clicking on the applicable link on celebritybeehive.com, and following the instructions. You will be asked to provide your legal first and last name, date of birth, zip code, gender, e-mail and to select a password. You will also be asked if you wish to receive communication (including, without limitation, promotion emails) from Sponsor or its affiliates. You are responsible for the secrecy of your password. Sponsor and other third parties are not responsible or liable for any actions taken using your password. Notwithstanding the foregoing, in the event that you forget your password, select the link for “Forgot your password?” or “Forgot your member name?”, enter your email address (the email address you used when you registered on Website) and Sponsor will send you a message with your member name or password. You shall be responsible for the secrecy of your temporary password and to changing such password to your own permanent password.
If you wish to update or revise your information, you may do so by going to the EDIT PROFILE link.
6. HOW TO ENTER
Enter Online: Log on to www.celebritybeehive.com and register as set forth in Section 5 above to obtain a team. Only entries received online in accordance with these Official Rules will be accepted. No other forms of entry - fax, mail, email, phone or other - will be accepted. Entry materials/data that have been tampered with or altered are void. You may enter/register for the Contests at any time during the Overall Contest Period for each Contest (as defined below), subject to these Official Rules.
It is the sole responsibility of the entrant to notify Sponsor during the Overall Contest Period for each Contest if his or her e-mail address has changed.
Entry Errors: (i) Sponsor is not responsible for lost, late, incomplete, damaged, stolen, invalid, unintelligible or misdirected entries, which will be disqualified; (ii) Sponsor is not responsible for any unavailability of or interruptions to any service or equipment used in connection with the Contests, including, without limitation, (1) interruptions to any network, server, Internet, website, telephone, satellite, computer or other connections (2) failures of any telephone, satellite, hardware, software or other equipment, (3) garbled, misdirected or jumbled transmissions, or traffic congestion, or (4) other errors of any kind, whether human, technical, mechanical or electronic, or (5) the incorrect or inaccurate capture of entry or other information or the failure to capture any such information.
Once submitted, entries become the sole property of Sponsor and will not be acknowledged or cancelled. In the event of a dispute as to any entry, the authorized account holder, i.e., natural person, of the email address used to register will be deemed to be the registrant. All entries are subject to the privacy information published at http:celebritybeehive.com/legal/privacypolicy.
Entrants may cancel their team and receive a full refund of the Subscription Fee, if any, up until the time of the “Draft” (as defined below). Once the Draft is completed, no refunds will be given. Sponsor agrees that it will terminate entrant’s account upon notice from entrant.
A. CELEB FANTASY: No Subscription Fee or entry fee is required to participate in the Celeb Fantasy League contest. No prizes will be awarded in connection with the Celeb Fantasy League contest as players compete against players in your league only, not the SUPER CELEB SHOWDOWN Overall League.
B. SUPER CELEB SHOWDOWN: The Subscription Fee for the SUPER CELEB SHOWDOWN contest is US $5.00 for the Super Celeb Overall Contest Period (“Subscription Fee”). Payment of the Subscription Fee must be made online with a valid credit card belonging to the registered entrant. Payment in any other form (i.e., personal check, money order, etc.) is not allowed. Unless as otherwise indicated herein, the Subscription Fee shall not apply to any future Contests.
Sponsor acts as the administrator of the Contests. Sponsor reserves the right to alter, change or amend the Subscription Fee at any time during the Super Celeb Overall Contest Period, provided, however, that at the time of any such alteration or amendment to the Subscription Fee, if any, current entrants who have already entered the Contest and paid the Subscription Fee will not be subject to pay any increase in the Subscription Fee nor will such current entrants be due a refund for any reduction in the Subscription Fee after their completed registration in the Super Celeb Showdown contest.
7. HOW TO PLAY
A. REGISTER: You must register as set forth in Section 5 above.
B. JOIN A LEAGUE: Leagues are comprised of a minimum of two (2) and maximum of eight (8) people. A player may create a league with friends or play against other fans in a public league.
C. DRAFT: A “Draft” is the process by which each player selects forty-eight (48) celebrities (“Celebs”) (“Draft List”) (i.e. 6 Celebs for each player in the League), in order of preference, from a master list provided by Sponsor (“Celeb List”) (For example, if John Stamos is not on the Celeb List, then such individual cannot be chosen as a Celeb) or the League can also select a pre-determined Draft List compiled by the Sponsor (and then player shall put them in order of preference). The Draft List must be submitted by deadline date as set forth in Section 8 below. From the League List, six (6) Celebs will be assigned to each player in your selected league through the draft process handled by Sponsor. Each player will be sent an email confirmation letting you know which six (6) Celebs are on your team. The Draft generally begins one (1) - two (2) weeks prior to the start date of each Contest Period for the applicable Contest.
D. PLAY: Pick two (2) Celeb “starters” from your team that you think will get the most publicity in the next Contest Period for the applicable Contest. No more than two (2) Celebs may be played each week. Only these two (2) “starters” will earn you points during a Contest Period for the applicable Contest. Points are earned by how much publicity a Celeb receives in the “Magazines” (as defined below) during a valid Contest Period for the applicable Contest as set forth in Section 8. You must submit your two (2) Celeb “starters” for a Contest Period for the applicable Contest prior to the applicable deadline as set forth in this Section 8. Once the “starter” team has been submitted, it is locked and cannot be changed. If no “starter” picks are made during a Contest Period for the applicable Contest, you will receive zero (0) points.
E. SCORING RULES:
· You cannot play any Celeb for 3 WEEKS IN A ROW.
· Magazines used to earn points change each week so be sure to check the Media Schedule in section 9 below. Points earned for each Magazine shall be on the first date indicated on the publication.
· Only “starters” actively selected during a Contest Period for the applicable Contest will earn points. There will be no carry-over of “starters” to the next Contest Period for the applicable Contest. For example, if you select Angelina Jolie and Kim Kardashian one week, but DO NOT actively select them again as your “starters’ for the next Contest Period for the applicable Contest, the Celebs will NOT carry-over and you will receive zero points. You shall receive a email reminder to select your “starters”.
· Pictures in advertisements do not count.
· Advertorials (i.e. paid or promotional spreads or which stated “paid advertisements”) do not count.
· The Celeb’s face must be showing and the star must be recognizable (celeb's body parts don't count, and they can’t be blurry in the background). Exception: If the Celeb is in a costume (Halloween or movie costume) but it is clearly captioned as that Celeb, you will still earn a point. For example, Jennifer Aniston’s face will score points, not image of just her arm, outfit, or hair.
8. CONTEST PERIOD/GAME CALENDAR/DEADLINES
A. CELEB FANTASY:
The Celeb Fantasy Contest #3 (May) begins April 19, 2010 at 12:00am PST, and ends May 31, 2010 12:00am PST. Contest schedules are outlined below (sometimes referred herein as “Celeb Fantasy Overall Contest Period” or “Overall Contest Period”).
The Celeb Fantasy Contest #4 (June) begins May 17, 2010 at 12:00am PST, and ends June 28, 2010 12:00am PST. Contest schedules are outlined below (sometimes referred herein as “Celeb Fantasy Overall Contest Period” or “Overall Contest Period”).
The Contest will consist of four (4) separate contest periods in which games are scheduled to take place (sometimes referred herein as “Celeb Fantasy Contest Period” or “Contest Periods”). All Celeb Fantasy Contest Periods are set forth in this Section 8, and will begin at 12:00 AM PST. Unless indicated otherwise, each Celeb Fantasy Contest Period covers a seven (7) day period.

10. CELEB TRADES
If your Celeb is a dud, trade ‘em. Players are allowed one (1) free trade from the Celebs on the Celeb List. Celebs may only be traded if no one else in your league has that Celeb. Trades are limited to Celebs who appear on the Celeb List not on the Draft List.
In the SUPER CELEB SHOWDOWN contest, players may purchase one (1) additional trade by redeeming 100 points.
11. SCORING
A. Magazines used: The magazines used to determine points shall be: Us Weekly, People, Star, OK!, In Touch Weekly and Life & Style Weekly (collectively “Magazines”). Magazines are limited to print publications only. The Magazines are subject to change at Sponsor’s sole discretion. Any and all Magazines (and their owning companies and affiliates) referenced and/or used in connection with these Contests are not affiliates, endorsers, sponsors, promoters, and/or associated with Sponsor, the Website, and/or Contests. Fantasy game points will be allocated to each player for each game as follows:

B. Tiebreaks:
i. Celeb Fantasy: In the event of tiebreak, the player with the highest single “Contest Week” score shall be deemed the winner. If a tie still exists, the tie will be broken using the following criteria in this order: (a) total points scored by all six Celebs in the eligible Magazines in the last Celeb Fantasy Contest Period; (b) total points scored by Magazine covers. In the event that a tie still exists, the players will each answer a series of trivia questions regarding celebrities until one player wins. Odds of winning depend on your ability to select high performing players, your knowledge of entertainment, and the number of eligible entries received.
ii. Super Celeb Showdown: In the event of tiebreak, the prize will be awarded to the player with the highest single “Contest Week” score. If a tie still exists, the tie will be broken using the following criteria in this order: (a) total points scored by all six Celebs in the in the eligible Magazines in the last Super Celeb Contest Period; (b) total points scored by magazine covers. In the event that a tie still exists, the players will each answer a series of trivia questions regarding celebrities until one player wins. Odds of winning depend on your ability to select high performing players, your knowledge of entertainment, and the number of eligible entries received.
The Overall Winners for the Super Celeb Showdown will be determined and announced, subject to winner verification of eligibility, on or about May 26, 2010 (the “Overall Winner Date”).
12. SELECTION AND NOTIFICATION OF PRIZEWINNERS
Eligibility, age and all claims made by selected winners are subject to verification. The failure to respond timely and completely to any winner notification sent by Sponsor (or failure to claim the prize) will result in forfeiture of the prize and Sponsor will select an alternate winner from among those remaining entrants in accordance with these Official Rules. Any prize notification returned as undeliverable may result in disqualification and selection of an alternate winner with the next highest score from among those remaining entrants in accordance with these Official Rules. The first selected winner will be notified by e-mail within five (5) business days after completion of the Overall Contest Period. In addition to any other requirements set forth in these Official Rules, winners will be required to respond to the attempted winner notification within two (2) business days of the date such notice was sent by Sponsor and, in such response, must confirm his/her full name, residential mailing address, phone number and date of birth to be eligible to receive any prize. If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential winner will be disqualified and an alternate winner may be selected within five (5) business days from first potential winner being disqualified. If a potential prizewinner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, Sponsor may refund any fees at its sole discretion. Sponsor may successively attempt to contact up to three (3) potential winner(s) of an applicable prize in accordance with the procedure set forth in this Section, and if there is still no confirmed winner(s) of such applicable prize after such attempts have been made, if any, such prize may go unawarded. For purposes of these Official Rules, a “business day” shall not include Saturday.
Super Celeb Showdown, Overall Prizewinners: There will be Sixty-one (61) prizes awarded for the Super Celeb Overall Contest Period:
One (1) Overall First Prize winner will receive $1000 and tank top [$10 Approximate Retail Value (“arv”)];
One (1) Second Prize winner will receive $500 and tank top ($10 arv);
One (1) Third Prize winner receives $250 and tank top ($10 arv);
Five (5) Fourth Prize winners receive $50 gift card to Alpha Gents ($50 ARV each);
Five (5) Fifth Prize winners receive The Hangover Blu-Ray dvd ($35 ARV each);
Five (5) Sixth Prize winners receive L'uvalla Organic toner ($30 arv each);
Fifteen (15) Seventh Prize winners receive Hollywood Movie Money tickets ($12 arv each);
Twenty-five (25) Eighth Prize winners receive Celebrity Beehive tank top ($10 arv each).
Applicable portions of the prizes will be delivered only to an address in the United States. The total ARV of all prizes is $2,785.00.
Super Celeb Showdown Season 2 (May/June), Overall Prizes: There will be Twenty-four (24) prizes awared for the Super Celeb Showdown Season 2 Contest Period:
One (1) Overall First Prize winner will receive an Avatar Prize Pack, includes: one (1) Jake's Na'vi dagger ($95), one (1) Neytiri dagger ($95), one (1) Jake's beaded arm band ($35) and one (1) Neytiri choker ($59) by Noble Collection;
One (1) Second Prize winner will receive one Blue Agate with "Create" Peace Symbol necklace by Shari Wacks ($158);
One (1) Third prize winner will receive one Double Green Onyx Heart and Unicorn necklace by Shari Wacks ($149);
One (1) Fourth prize winner will receive one Ohm Coin with Lapis Star necklace by Shari Wacks ($96);
One Fifth prize winner will receive one Ohm Coin with Peridot Drop necklace by Shari Wacks ($96);
One (1) Sixth prize winner will receive one Sparrow with Apatite Drop necklace by Shari Wacks ($78);
Five (5) Seventh prize winners will each receive one Valentine's Day dvd ($35 ARV each);
Five (5) Eighth Prize winners each receive one Hollywood Movie Money ticket ($12 arv each);
Five (5) Ninth Prize winners each receive one Celebrity Beehive tank top ($10 arv each).
Applicable portions of the prizes will be delivered only to an address in the United States. The total ARV of all prizes is $1,146.00
13. GENERAL PRIZE CONDITIONS
Prizes will be awarded only if each potential prizewinner fully complies with these Official Rules. All portions of the prize(s) are non-assignable and non-transferable. Prizes pictured in point-of-sale, online, television and print advertising, promotional packaging, and other Contest materials are for illustrative purposes only. Actual prize(s) may vary from the prize(s) pictured. All details and other restrictions of the prize(s) not specified in these Official Rules will be determined by Sponsor in its sole discretion. No cash alternative or substitution of the prize(s) will be allowed, except Sponsor reserves the right in its sole discretion to substitute prize(s) of comparable value if any prize listed is unavailable, in whole or in part, for any reason. The prizewinner shall be solely responsible for all federal, state, and/or local taxes, and the reporting consequences thereof, and for any other fees or costs associated with the applicable prize. In instances when the combined value of the contestants’ cash prizes, if any, is Six Hundred Dollars ($600) or more, the winner will receive a Form 1099, which is the form used to report such amounts to the Internal Revenue Service.
As a condition of receiving a prize, the potential winner will be required to execute an Affidavit of Eligibility, a Liability Release, and (except where prohibited) a Publicity Release (collectively, “Prize Claim Documents”). If any potential winner fails or refuses to sign and return all Prize Claim Documents via electronic mail within two (2) business days of prize notification (as set forth above), the winner may be disqualified and an alternate winner may be selected.
Sponsor makes no warranties, and hereby disclaims any and all warranties, express, or implied, concerning any prize furnished in connection with the Contest. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.
14. CONDITIONS OF PARTICIPATION
A. Sportsmanship (“AKA” Celebrity Courtesy):
i. General Sportsmanship: By participating, you agree to abide by the general sportsmanship rules set forth in these Official Rules and Contests in general. You further agree to accept and abide by the rulings and the decisions of Sponsor regarding all questions of sportsmanship. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Contest(s) or the Website, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Contest(s), or to annoy, abuse, threaten or harass any other person, or to defame, disparage, and/or negatively post any message and/or material regarding the Celebs and/or Magazines, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. All decisions by Sponsor in sportsmanship and related matters will be final. Without limiting the foregoing, Sponsor may terminate an entrant’s account who, in Sponsor’s sole judgment, has been disqualified, has questionable eligibility, or is otherwise ineligible to enter. No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple entries will be accepted. For clarification, any paid Subscription Fee shall not be refundable in the event of termination by Sponsor as set forth hereunder. CAUTION: A PERSON WHO ATTEMPTS DELIBERATELY TO UNDERMINE THE LEGITIMATE OPERATION OF THE CONTESTS OR TO ALTER OR DAMAGE THE SPONSOR’S WEBSITE MAY BE SUBJECT TO CIVIL AND/OR CRIMINAL PENALTIES AND FINES; AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
ii. Collusion: Sponsor does not permit two or more individuals in the same league to work together to better one team at the expense of the other (for example, making one-sided trades, one team dropping highly-rated players so the other team can pick them up). If it is discovered that two or more individuals are colluding, Sponsor reserves the right to disqualify all involved individuals from participating in any league (and Subscription Fee shall not be refunded).
B. Cancellation: In the event of a cancellation or termination of a winner, the entrant who has accumulated the highest point total (and who wins any pending tiebreakers) at the time of any said action will be awarded the prizes, or the prizes will be awarded in such other manner deemed fair and appropriate by Sponsor.
C. Background Check: Sponsor reserves the right to conduct a background check of any and all records of any winner, including without limitation, civil and criminal court records and police reports. To the extent necessary under law, winner shall authorize this background check. Sponsor may also take all steps necessary to corroborate any information provided to Sponsor by winner. In that regard, winner will be obligated to provide necessary contacts and information so that Sponsor may conduct such investigation. Sponsor reserves the right (at its sole discretion) to disqualify a winner based on the background check, and select an alternate.
15. GAMBLING PROHIBITION
These Contests are strictly for entertainment purposes and may not be used in connection with any form of gambling.
16. GENERAL PROVISIONS
A. PUBLICITY: By registering to the Website, you give permission for Sponsor to use your name, photograph, likeness, voice, biographical information, statements, and address (city and state) (whether provided by you or obtained by Sponsor from an outside source or created by Sponsor) (“Personal Material”) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation. You hereby releases and discharges to Sponsor, and its employees, agents, licensees, successors and assignees from any and all claims, demands or causes of action that you may now have or may hereafter have for libel, defamation, invasion of privacy or right of publicity, infringement of copyright or violation of any other right arising out of or relating to any utilization of Personal Material or based upon any failure or omission to make use thereof or any misinformation (e.g. wrong picture, misspelling of name, etc).
B. RELEASE OF LIABILITY: Entrants agree that Sponsor (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Contest(s) or any Contest-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose. Sponsor assumes no responsibility for any damage to an entrant’s, or any other person’s, computer system which is occasioned by accessing the Website or otherwise participating in the Contest(s), or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, Sponsor is not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information.
C. FORCE MAJEURE: Sponsor reserves the right to modify, extend, suspend, or terminate the Contest(s) if it determines, in its sole discretion, that the Contests are technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Contest as contemplated herein. In the event an insufficient number of eligible entries are received and/or Sponsor is prevented from awarding prizes or continuing with the Contest(s) as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis (e.g. SARS), order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, or terminate the Contest(s). If the Contest(s) are terminated before the designated end date, Sponsor will (if possible) select the winner from all eligible, non-suspect entries received as of the date of the event giving rise to the termination. Only the type and quantity of prizes described in these Official Rules will be awarded. No Subscription Fee(s) shall be refunded, except in the event that Contest(s) are terminated due to a Force Majeure event prior to the Draft and/or no winner(s) are or can be announced, then all Subscription Fees shall be refunded.
D. AMENDMENTS/SEVERABILITY: These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
E. Governing Law and Jurisdiction: THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF CALIFORNIA WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. For any matters which are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules, the Contest(s), the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the state of California and federal courts located in the City and County of Los Angeles, and State of California. The parties agree not to raise the defense of forum non conveniens.
F. ARBITRATION PROVISION: By participating in these Contest(s), each entrant agrees that any and all disputes the entrant may have with, or claims entrant may have against, Sponsor relating to, arising out of or connected in any way with (i) the Contest(s), (ii) the awarding or redemption of any prize, and/or (iii) the determination of the scope or applicability of this agreement to arbitrate, or (iv) any other claim will be resolved individually and exclusively by final and binding arbitration administered in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of California, in the City and County of Los Angeles. The arbitrator’s decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements referenced herein that the applicable participant may have entered into in connection with the Contest(s). The arbitrator shall not have the power to award punitive damages against the participant or Sponsor. If any part of this Arbitration Provision is deemed to be invalid or otherwise unenforceable or illegal, the balance of this Arbitration Provision shall remain in effect and shall be construed in accordance with its terms as if the invalid or illegal provision were not contained herein.
G. Privacy: The Sponsor collects personal data from registered users when they enter the Contest(s). This information becomes the property of the Sponsor and may be combined with other information that you have submitted to them. Personal data collected from Sponsor is subject to the Sponsor privacy policy located at www.celebritybeehive.com/legal/privacypolicy and will be handled consistent with that policy and subject to any specific privacy choices communicated to Sponsor. Personal information may also be disclosed to third parties in order to administer the Contest(s) and award prizes.
